RWA Tokenization in Dubai: Regulation, Licensing & Cost (2026)

How real-world asset tokenization actually works in Dubai: VARA's ARVA regime, DIFC vs VARA, live precedents, licensing paths and real first-year costs.

Most founders assume that tokenizing real estate or a fund in Dubai lives in some regulatory grey zone. It doesn''t. Dubai is one of the few markets on earth where the regulator has already written the rulebook, named the asset class, and let a live product run in production.

Here is the part that surprises people. The Dubai Land Department did not wait for the private market. It tokenized the title deed itself. Through the Prypco Mint platform, launched 25 May 2025, fractional shares in ready, title-registered Dubai homes went on sale from AED 2,000, settled only in dirhams, issued on the XRP Ledger by Ctrl Alt and held in sync with the official land registry.

By February 2026 the project reached a secondary market phase: around 7.8 million tokens across ten properties, roughly AED 18.5 million in value, tradable between holders.

That is not a pitch deck. That is the state land registry running tokenized ownership in production. If you are deciding where to build a real-world asset (RWA) business, that single fact should move Dubai up your list.

The VARA ARVA License: A Rulebook With a Name

The turning point was VARA''s Rulebook 2.0, published 19 May 2025 with full compliance mandatory from 19 June 2025. It created a dedicated category called ARVA, Asset-Referenced Virtual Asset, inside the VA Issuance Rulebook.

Read the definition and you understand why this matters. An ARVA is any virtual asset that represents, directly or indirectly, present or future ownership of a real-world asset. And "real-world asset" is drawn deliberately wide: any interest in a financial instrument, any physical or tangible asset, or an intangible asset. Real estate, commodities, fund units, private credit, receivables, collectibles. If it has value in the real world, the definition reaches it.

Dubai did not create a loophole. It created a licence.

    02

DIFC vs VARA Tokenization: The Fork That Decides Everything

Here is the mistake I see most often. Founders assume "Dubai crypto equals VARA" and start there. Sometimes that is exactly wrong.

Dubai is not one regulator. It is several regimes running side by side:

    • VARA covers the Emirate of Dubai outside the DIFC: the mainland and every free zone.
    • DFSA regulates inside the DIFC financial free zone.
    • FSRA runs ADGM in Abu Dhabi.
    • Capital Market Authority (CMA) replaced the SCA on 1 January 2026 and now holds explicit authority over virtual assets at the federal layer.
    • Central Bank governs payment tokens.
    • Land Department co-runs real estate tokenization.

The line that decides your path is one question. Is the asset a security?

If you are tokenizing something that is a security in substance, a bond, a sukuk, a share, a fund unit, your road runs through the DIFC and the DFSA, or the federal CMA. If you are tokenizing something that is not a security, the property itself, gold, a revenue right, a collectible, your road runs through VARA and the ARVA regime.

Get this classification wrong and you either apply to the wrong regulator or build a structure you later have to unwind. There is no single published bright-line test. Each token needs its own legal analysis. That is not caution for its own sake. That is the structure of the market.

What You Can Actually Tokenize, and What Is Still Theory

This is where I separate what is live from what is merely legal.

Real estate is the most mature and most visible. Live, in production, through the Land Department and Ctrl Alt, with the ARVA management-token model working in the secondary market. The Land Department''s stated target is for tokenized property to reach 7 percent of Dubai''s market by 2033, around AED 60 billion.

Fund units are live too, but on the DIFC side. The QCDT fund, launched in September 2025 after DFSA approval in July 2025, was the DIFC''s first tokenized money market fund, built by QNB, DMZ Finance and Standard Chartered. For any bank or asset manager watching, that is a direct precedent.

Bonds, sukuk and eurobonds are securities, so they sit with the DFSA or the federal CMA. They are being tested inside the DIFC Tokenisation Regulatory Sandbox, opened March 2025 with 96 applications received. A completed, public DIFC tokenized bond issuance had not been confirmed as of mid-2026. Legal, in progress, not yet a finished precedent.

Gold and commodities fall squarely inside ARVA and are legally possible today. The reserve gold has to sit with a licensed custodian, with monthly public disclosure and a six-month independent audit, the same as any ARVA. But a VARA-approved live gold token had not been confirmed as of this writing. For a first mover, that gap reads as opportunity rather than risk, especially given Dubai''s physical gold infrastructure.

Private credit, receivables and income streams, loan books, factoring, rent and royalty flows, fall under the intangible-asset branch of ARVA. Ctrl Alt has stated it tokenized over USD 850 million across real estate, private credit, funds and commodities.

Collectibles and atypical assets work too. Tokinvest''s tokenized racehorse project, Evolution Stables, is the live proof of how wide the definition stretches.

Equity tokens are securities and route through the CMA federally or the DFSA inside the DIFC. Stablecoins are a different animal entirely. Dirham-backed payment tokens require a Central Bank licence and a UAE-incorporated issuer, and a bank can only do it through a subsidiary, never directly.

    04

Dubai Asset Tokenization Cost and Timeline

Founders want the number. Here it is, from the official tariffs as they stood in July 2026.

On the VARA side, issuing ARVA tokens needs a Category 1 VA Issuance licence:

    • Application: AED 100,000
    • Annual supervision: AED 200,000 per activity
    • Paid-up capital: AED 1,500,000, or 2 percent of the average reserve asset value over the trailing 24 months, whichever is higher
    • Net liquid assets: at least 1.2 times monthly operating expenses

Stack in company setup, a physical office, two resident directors, a Compliance Officer and an MLRO, plus legal, AML systems and audit, and a full first-year VARA build lands around AED 2.4 to 3.0 million, roughly USD 650,000 to 820,000.

One nuance that changes how you read that figure: AED 1.5 million of it is not spend, it is locked capital sitting inside your own company.

The DIFC route is lighter to enter. DFSA application fees run from about USD 15,000 for arranging and advising up to USD 40,000 for dealing as principal, with an exchange operator at USD 150,000. A full first-year DIFC setup lands around USD 110,000 to 410,000 depending on scope.

And there is a cheap door. The DFSA''s Innovation Testing Licence, the tokenization sandbox, opens at roughly USD 7,500 plus USD 10,000 a year and lets you run a limited live test before committing to full authorization.

Timeline, both paths, is the number people underestimate. End to end, preparation through first issuance, plan for 9 to 15 months. Well-prepared files move faster. Nothing moves in weeks.

    05

The Mistakes That Cost the Most

Three blind spots come up again and again.

First: marketing before you are licensed. VARA''s 19 February 2026 alert was blunt. Marketing tokenized products, real estate especially, without a licence and approval invites enforcement. And it reaches promotions run from abroad if they target people in the UAE. If you are planning a splashy pre-launch campaign, that is exactly the wrong order of operations.

Second: believing a licence removes product risk. It does not. A VARA-licensed platform''s token still suffered a sharp collapse in value in 2025. The licence is your floor, not your guarantee. On an institution-grade product, reserve transparency and audit discipline are what actually set you apart.

Third: ignoring the federal transition. The CMA''s new framework and its mutual-recognition arrangement with VARA are still bedding in, with compliance windows running toward early 2027. If you build now, you build watching both regimes, not one.

    06

    Where to Start

If you are serious about this, the sequence is not complicated, but the order matters.

    1. Pick the first asset before anything else. Everything downstream, which regulator, which licence, which structure, flows from whether that asset is a security. Classify it properly, with real legal analysis, not a guess. 2. Choose your lane. VARA and ARVA for non-securities, DIFC and DFSA for securities, and a hybrid if your product line spans both. 3. Pre-engage VARA or the DFSA early rather than late. The items with no published tariff, the token approval fee, the exact scope conditions, get resolved in that conversation, not in a rulebook.

Dubai has done the hard part. It wrote the rules, named the category, and let real products run. The work now is structuring your entry so it holds up under the regime that actually governs your asset, and doing it before you market, not after.

That is a solvable problem. It just rewards the ones who move early and structure right.

    Grow Defensibly.

If you are building an RWA product with a UAE nexus, the classification and lane choice are decisions best made before you incorporate, not after. I work with founders and institutions to classify the underlying asset, map it against the ARVA or DFSA perimeter, and structure the entry, capital, and licensing path so it holds up under the regime that actually governs it.
